NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement ("Agreement") is entered into on [DATE] by and between:

1. [DISCLOSING PARTY] ("Disclosing Party"); and
2. [RECEIVING PARTY] ("Receiving Party").

1. PURPOSE
   The parties wish to explore [PURPOSE] (the "Purpose"), in connection with which the Disclosing Party may share certain confidential information.

2. CONFIDENTIAL INFORMATION
   "Confidential Information" means any non-public information disclosed by the Disclosing Party, whether orally, in writing or electronically, that is designated as confidential or would reasonably be understood to be confidential.

3. OBLIGATIONS
   The Receiving Party shall (a) use the Confidential Information solely for the Purpose; (b) not disclose it to any third party; and (c) protect it with the same degree of care it uses for its own confidential information.

4. TERM
   The obligations of confidentiality shall survive for 3 year(s) from the date of disclosure.

5. GOVERNING LAW
   This Agreement shall be governed by the laws of India and subject to the exclusive jurisdiction of the courts at [CITY].
